1. Definitions

  • "Services": Website development, AI solutions, consultations, and retainers.
  • "Client": You, the business contracting our services.
  • "Deliverables": Websites, apps, chatbots, or dashboards we create.

2. Scope of Services

3. Payment Terms

Payment Options

We offer flexible plans tailored for small businesses:

Monthly Installment Details

  • Approval: Available for projects over £1,000.
  • Breakdown: Total fee divided into equal monthly parts (e.g., £3,500 project = 3 x £1,166.66).
  • Late Payments: Work pauses after 7 days overdue. £25 reactivation fee applies.

General Terms

  • Invoices: Sent monthly via email.
  • Default: Unpaid balances after 30 days may result in withheld deliverables or legal action.
  • Refunds: Deposits non-refundable. Cancelled monthly plans require payment for work completed.

4. Client Responsibilities

You agree to:

  • Provide accurate business information and materials (logos, content, etc.).
  • Secure necessary licenses for third-party assets (e.g., stock photos).
  • Not use our services for illegal activities or spam.

5. Intellectual Property

  • Client Ownership: You retain rights to your brand assets and content.
  • Articll Ownership: We retain rights to tools, code libraries, and AI models.
  • Licenses: We grant you exclusive rights to use Deliverables for your business.

6. AI & Data Use

  • Training Data: No Client data is used and all data is anonymized before training AI models.
  • Compliance: All AI tools adhere to UK GDPR and ICO guidelines.

7. Warranties & Liabilities

  • No Guarantees: We don't warrant uninterrupted service or specific results.
  • Liability Cap: Limited to fees paid for the affected service.
  • Exclusions: We're not liable for indirect damages (e.g., lost profits).

8. Termination

  • By You: 30 days' notice for retainers. No refunds for work already completed.
  • By Us: Immediate termination for breach of terms.

9. Disputes

  • Governing Law: England and Wales.
  • Resolution: Mediation in Lancaster before litigation.
